Woah, don't be that quick buddy. A skin that others make is not your skin. If this is your first skin, don't even think about making models or animations.
Just make textures for existing weapons and practice until you know how to make a good skin.

You have to decompile it first:

Go to Tools then Half-Life then click on Decompile Normal HL MDL File.

That should give you the .smd files containing the model and animation data, and the textures in .bmp format. Note: all the files are extracted in the folder containing the .mdl so you should copy it in a empty folder and then decompile it or you will get a mess of files.

To open the model look for a .smd that contains in its name reference or something like that.

To load the animations first load the reference .smd and then open any other .smd of the same model (since only 1 contains the model itself and the rest are just animations)

You may also need to load the textures in the Materials tab if you cant see them.

If you see the model pitch black you can do this: eiter go to Vertex and click on Unweld (you have to select all vertexs for this to work: Ctrl + A) or you can try using Reverse Vertex Order (Ctrl + Shift + F)

If you're going to make retextures always remember to save the image with the same proportions and in 8-bit color mode (256 colors or Indexed)

    > can u guy suggest me a free animation software that can open .mdl file

You can use JHLMV to view .mdl models without decompiling them

    > im confused....

Thats mostly because you're trying to jump straig into modeling without taking your time to look for some tutorials and learn the basics, aside from that everything is really easy when you get gang with the names of each thing.

What they try to tell you is to start it simple, it takes years of practice to create your own model, texture and animation that looks any close to decent. Go back to the first page where Kosai gave you links to tutorials, and choose one to begin with.

There isn't really a starting point per se, if you'd look at the models section you can see loads of people who made models without texturing them simply because they can't. What is important, however, is that you do it one step at a time, focus on one aspect at a time, and once you feel you're ready for more, head back to the tutorials section.

I wouldn't say it takes years to learn it, this process will take around 3 months in total; mastering will take that long however.
